The Australian Institute of Training and Development (AITD) is governed by a national Board of elected representatives made up from one member of each AITD Division. Board Directors are appointed for three year terms by the members of their Division on the following schedule:

Nominations are currently being sought for Board Directors in ACT and Qld/NT Divisions. The following information is provided to assist you in determining whether to nominate for a Board Director position.

Who is eligible to be nominated as an AITD Board Director?

To be eligible to stand for the National Board, candidates must:

  1. Be financial Members of the AITD.
  2. Have been a member of their relevant Divisional Council for at least twelve consecutive months at the time the election is called.

AITD Board Directors are registered with the Australian Securities and Investments Commission (ASIC) as Directors. As such, AITD Board Directors must meet ASIC requirements of Directors. To be appointed to the AITD Board, you must be 18 years of age or older. You are unable to be appointed to the AITD Board if you:

  1. are an undischarged bankrupt; or
  2. are subject to a personal insolvency agreement under the Bankruptcy Act 1966 that has not been fully complied with; or
  3. have been convicted of various offences such as fraud or offences under company law, such as a breach of your duties as a Director or insolvent trading.

How long does an AITD Board Director serve?

AITD Board Directors are appointed for a three year term. In other words, Directors elected in 2017 will remain on the AITD Board until the next election in 2020. Board Directors must remain financial members of AITD throughout their term. There is currently no time limit on the time that a member may be a Director serving on the AITD Board as long as they are re-elected following the process specified in the AITD By-Laws.

Are AITD Board Directors paid?

No. AITD Board Directors are volunteers and are not paid a sitting fee or other payment for their services to AITD. Board Directors are reimbursed for travel and accommodation expenses incurred in the course of their work for AITD.

Why would I want to join the AITD Board?

Volunteering your time to serve as an AITD Board Director is a great way to contribute to your association and get more from your AITD membership. In addition to industry knowledge, Board Directors bring a range of other expertise to AITD, including: financial management, risk management, quality management, strategic management, human resource management, experience on other Boards and much more.

As a Board Director you will share your knowledge and expertise and learn from other Directors. You will have the opportunity to broaden your network and increase your profile in the training, learning and development profession. You will also gain valuable corporate governance experience as a not-for-profit Board Director.

What do AITD Board Directors do?

Being on the AITD National Board is different from serving on a Divisional Council. Board Directors have legal responsibilities. While Directors come from Divisions, they are responsible for serving in the best interests of AITD as whole.

The Board monitors and maintains the governance of AITD and sets the strategic direction of AITD in conjunction with the CEO and other stakeholders. While not involved in the day-to-day operation of AITD, Directors are expected to have an understanding of how AITD operates in order to be assured that the business is being managed in accordance with the AITD Constitution, By-Laws and all legal requirements.

When Directors accept appointment to the Board, they acquire a fiduciary duty – a duty of trust and loyalty similar to that of doctor/patient – to act honestly, in good faith, and in the best interests of AITD. The AITD Constitution and By-Laws set out the powers and functions of Board Directors. See sections 10-12 of the AITD Constitution for information about the composition, powers and duties, and proceedings of the AITD Board.

What time commitment do I need to make to serve on the AITD Board?

Serving as a Board Director requires you to make a commitment to participate in Board meetings, national AITD events and engage in some work in between Board meetings.

AITD Board Directors are expected to attend:

  1. At least four Board Meetings per year – held on weekends in Sydney.
  2. The annual AITD National Conference.
  3. The Excellence Awards ceremony.
  4. The Annual General Meeting (AGM).

In addition, you may be involved in Board committees and working parties, or participate in meetings with stakeholders outside of the scheduled Board meeting dates.

All Board Directors are expected to come to the Board meetings prepared, having read the relevant papers, so some work is required in the weeks leading up to each Board meeting.

What is the process of being elected to the AITD Board?

The process for electing Board Directors is described in the AITD By-Laws (Section 5.0). Broadly, the process is as follows:

  1. Once the Divisional Councils are formed, AITD will write to the Divisional Council and advise which members are eligible to stand for the Board. This will occur in early September 2017.
  2. Eligible members who wish to stand will submit a nomination form to AITD by Friday 15 September 2017.
  3. If there is only one nominee, that person will be appointed to the Board.
  4. If there are two or more nominees, an election will be held to determine who will be appointed to the Board. This will occur in late September/early October. Please note: Divisional Council Members do not determine who represents their Division on the AITD Board. Board Directors are elected by members of the Division.

Once appointed to the AITD Board, Directors will commence their term after the next AGM. Directors appointed this year will officially commence their term on 17 November 2017.

Board Directors will receive an induction to their role and participate in Board professional development training.
